Terms of Service

These Terms of Service ("Terms") are a binding agreement between DigiTransito Private Limited ("DigiTransito", "we", "us") and the organisation on whose behalf you register or use the DigiTransito platform (the "Service"). By ticking the acceptance box at signup, or by accessing or using the Service, you represent that you are authorised to bind your organisation and you agree to these Terms.
1. The service
DigiTransito provides a cloud-based transport-management platform for booking, tracking, billing, accounting, compliance and fleet operations. Features evolve over time; we may add, change or remove functionality.
2. Eligibility & accounts
You must provide accurate registration details and are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorised use.
Access is scoped by role and branch; your administrators control who can see and do what within your tenant.
3. Acceptable use
You agree not to: misuse or overload the Service; attempt to breach tenant isolation or access another customer’s data; probe, scan or reverse-engineer the platform except to the extent permitted by law; upload unlawful, infringing or malicious content; or use the Service to violate the rights of others or any applicable law.
4. Your data & responsibilities
You retain ownership of the data you enter. You grant us a limited, non-exclusive licence to host, process and transmit that data solely to provide and support the Service. Our handling of personal data is described in the Privacy Policy.
As between us, you are the Data Fiduciary for the personal data you upload and are responsible for having a lawful basis to collect and process it (including any employee, driver or counterparty data).
5. Availability & support
We aim for high availability but do not guarantee uninterrupted or error-free service. Scheduled maintenance and factors beyond our control may cause downtime. Support is provided on a commercially reasonable-efforts basis at support@digitransito.com.
6. Fees & taxes
Where a paid subscription applies, fees, billing cycles and plan limits are as set out in your order or the applicable plan. Fees are exclusive of GST and other taxes, which you will pay in addition where applicable. Except as required by law, fees are non-refundable.
7. Statutory outputs — not professional advice
The Service helps you prepare documents and computations (e.g. invoices, GST returns, e-way bills, payroll and TDS figures). These are tools, NOT tax, legal, accounting or other professional advice. You are solely responsible for reviewing and verifying every statutory output before you file, issue or rely on it.
8. Disclaimer of warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement, to the maximum extent permitted by law.
9. Limitation of liability
To the maximum extent permitted by law, DigiTransito will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, data, goodwill or business, however arising.
Our total aggregate liability arising out of or relating to the Service will not exceed the fees actually paid by you for the Service in the twelve (12) months immediately preceding the event giving rise to the claim.
10. Indemnity
You will indemnify, defend and hold harmless DigiTransito and its officers, employees and agents from and against any claims, damages, penalties, losses and expenses (including reasonable legal fees) arising out of or related to: your data or content; your use of the Service in breach of these Terms or any law; your tax, regulatory or contractual obligations to third parties; or your infringement of any third-party right.
11. Confidentiality
Each party will protect the other’s non-public information disclosed in connection with the Service and use it only for the purposes of these Terms, except where disclosure is required by law.
12. Term, termination & suspension
Either party may terminate as provided in your order or on material breach not cured within a reasonable notice period. On termination we will make your data available for export for a reasonable period, after which it may be deleted.
We may suspend or limit access without liability if we reasonably believe there is a security risk, unlawful use, non-payment, or a legal requirement to do so.
13. Changes to the Service and to these Terms
We may modify these Terms. Material changes will be notified in-product or by email and take effect on the stated date; where required, we will ask you to accept the updated Terms again. Continued use after the effective date constitutes acceptance.
14. Force majeure
Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including acts of God, outages of third-party infrastructure or connectivity, strikes, or governmental action.
15. Governing law & jurisdiction
These Terms are governed by the laws of India. The courts at Ahmedabad, Gujarat, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to that jurisdiction and venue.
16. General
These Terms, together with your order and the Privacy Policy, are the entire agreement between the parties on this subject. If any provision is held unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign to an affiliate or successor. Our failure to enforce a provision is not a waiver.
